1. Introduction and Acceptance

These Terms of Monetization (“Monetization Terms”) govern participation in the Flaer monetization program (the “Monetization Program”), through which eligible users may earn monetary rewards for sharing eligible Instagram content that promotes participating businesses.

These Monetization Terms form a legally binding agreement between you (“User”) and Flaer, Inc., a Delaware C-Corporation (“Flaer,” “we,” “us,” or “our”). They apply only to Users who choose to monetize content through the Service.

By creating a Share, you confirm that you have read, understood, and expressly agreed to these Monetization Terms.

Acceptance occurs each time you attempt to monetize content by:

  • selecting an eligible Instagram post, story, or reel,

  • selecting the business the content promotes, and

  • confirming acceptance of these Monetization Terms by tapping “Agree & Create Share” (or similar action).

If you do not agree to these Monetization Terms, you must not create a Share and will not be eligible to earn rewards.

These Monetization Terms supplement, and are incorporated into, the Terms of Service. In the event of a conflict between the Terms of Service and these Monetization Terms, these Monetization Terms control solely with respect to monetization, rewards, payouts, and eligibility.

Participation in the Monetization Program is optional. Flaer may modify, suspend, or discontinue the Monetization Program at any time, in whole or in part, subject to Section 19 (Changes to These Terms of Monetization).

Participation in the Monetization Program does not create an employment relationship, contractor relationship, partnership, agency, or joint venture between you and Flaer.

2. Eligibility for Monetization

Participation in the Monetization Program is subject to ongoing eligibility requirements. You are eligible to create a Share and earn rewards only if all of the following conditions are met at the time of Share creation and throughout the applicable visibility period.

2.1 Account and Platform Requirements

To participate in the Monetization Program, you must:

  • have an active Flaer account in good standing,

  • have your Instagram account properly connected to the Service,

  • maintain valid Instagram permissions throughout the monetization period,

  • comply with the Terms of Service, these Monetization Terms, and all applicable platform rules.

If your Instagram access is revoked, expires, or becomes unavailable for any reason, you are no longer eligible to earn rewards for affected Shares.

2.2 Eligible Content Ownership

You represent and warrant that:

  • the content you submit for monetization was uploaded to your own connected Instagram account,

  • you own or control all rights necessary to monetize the content,

  • the content has not been previously monetized through Flaer,

  • each post, story, or reel may be monetized only once.

Content uploaded by third parties, reposted content, or content not associated with your connected Instagram account is not eligible.

2.3 Content Age and Timing

To be eligible for monetization:

  • the selected Instagram post, story, or reel must be less than seven (7) days old at the time of Share creation,

  • the applicable visibility window must not have expired.

Flaer may reject or invalidate Shares submitted outside the permitted timeframe.

2.4 Business Credit Availability

A Share may be created only if the selected business:

  • is actively participating in the Monetization Program, and

  • has sufficient available credits to cover the Estimated Reward.

If sufficient credits are not available, Share creation may be blocked or fail.

2.5 Business Identification and Promotion

When creating a Share, you must accurately select the business that the content promotes.

For Instagram stories, you must make a reasonable effort to reference the business using one or more of the following:

  • business name,

  • location tag,

  • Instagram tag,

  • descriptive text referencing the business.

You may proceed with Share creation even if Flaer cannot automatically detect the reference, but you remain responsible for ensuring that the content genuinely promotes the selected business.

You further represent that:

  • the content promotes the selected business in good faith, and

  • the content is marked as a paid promotion on Instagram where required by Instagram’s policies.

Flaer does not guarantee detection or enforcement of these requirements and relies on User representations.

2.6 Supported Content Types

The Monetization Program supports the following Instagram content formats:

  • Stories

  • Posts

  • Reels

Different content types may:

  • have different CPMs,

  • use different insight metrics,

  • be subject to different visibility windows.

Monetization eligibility, estimates, and rewards may vary by content type.

2.7 Geographic and Program Limitations

Monetization availability may vary based on:

  • business location,

  • business category,

  • content type,

  • User account characteristics,

  • platform limitations,

  • regulatory or operational considerations.

Flaer reserves the right to restrict or modify eligibility criteria at any time.

2.8 No Guaranteed Eligibility

Meeting eligibility requirements does not guarantee:

  • successful Share creation,

  • availability of insights,

  • receipt of a Final Reward,

  • continued participation in the Monetization Program.

Eligibility is assessed on a per-Share basis and may change at any time.

2.9 Incentive-Based Compensation

Any rewards earned through the Monetization Program constitute incentive-based promotional compensation for content sharing.

Rewards are not wages, salary, or employment income, and participation does not create an employment, contractor, or agency relationship with Flaer.

2.10 Ongoing Compliance

Eligibility must be maintained throughout the entire monetization process. Failure to meet any eligibility requirement at any time may result in forfeiture of rewards as described in these Monetization Terms.

3. Share Creation Process

3.1 Definition of a Share

A “Share” is created only when a User successfully completes the monetization flow within the Service and all required steps are confirmed by Flaer’s systems.

A Share represents a request to participate in the Monetization Program and does not represent earned income, a guaranteed reward, or a completed transaction.

3.2 Required Steps to Create a Share

A Share is created only after the User:

  1. selects an eligible Instagram post, story, or reel displayed within the Service,

  2. selects the business that the content promotes,

  3. reviews the Estimated Reward (if displayed),

  4. expressly agrees to these Monetization Terms, and

  5. confirms Share creation by tapping “Agree & Create Share” (or a substantially similar action).

If any step fails, is interrupted, or results in an error, no Share is created, and the User must repeat the process.

3.3 Confirmation of Share Creation

A Share exists only once it is successfully recorded by Flaer’s backend systems.

Visual indicators, loading screens, previews, or temporary confirmations do not constitute Share creation.

Flaer may reject, delay, or fail to create a Share due to:

  • system errors,

  • insufficient advertiser credits,

  • platform limitations,

  • third-party failures,

  • invalid or expired Instagram permissions or tokens.

Flaer is not responsible for Shares that fail to be created.

3.4 One-Time Monetization per Content Item

Each eligible Instagram post, story, or reel may be monetized only once through the Service.

Once a Share has been created for a specific content item:

  • the same content may not be submitted again for monetization,

  • duplicate submissions are invalid,

  • attempts to circumvent this restriction may be treated as abuse or fraud.

3.5 Content Accuracy and User Representations

By creating a Share, you represent and warrant that:

  • the selected content is the correct content you intend to monetize,

  • the selected business is the business genuinely promoted by the content,

  • the content complies with Instagram’s policies and applicable laws,

  • the content was not created solely to exploit the Monetization Program.

Flaer does not independently verify these representations at the time of Share creation and relies on User accuracy.

3.6 No Right to Modify or Delete a Share

Once created, a Share:

  • cannot be edited, modified, or deleted by the User,

  • cannot be reassigned to a different business,

  • cannot be canceled to preserve eligibility.

If the associated content is deleted, Instagram access is revoked, or eligibility conditions are no longer met, the Share may become unrewarded as described in Section 8 (Forfeiture of Rewards).

3.7 Share Creation Does Not Guarantee a Reward

Creating a Share does not guarantee:

  • that insights will be available,

  • that visibility requirements will be satisfied,

  • that a Final Reward will be calculated,

  • that any reward will be paid.

A Share becomes eligible for a Final Reward only after all conditions in these Monetization Terms are satisfied.

3.8 Discretionary Controls

Flaer reserves the right to:

  • limit the number of Shares a User may create,

  • restrict Share creation frequency,

  • apply account-level eligibility rules,

  • prevent Share creation for operational, security, or compliance reasons.

Such controls may be applied without prior notice.

4. Eligible Content Types

4.1 Supported Content Formats

The Monetization Program supports the following Instagram content formats (each an “Eligible Content Type”):

  • Instagram Stories

  • Instagram Posts

  • Instagram Reels

Only these content formats are eligible for monetization. Other formats, including but not limited to comments, live videos, highlights, profile content, or third-party reposts, are not eligible.

4.2 Content Ownership and Account Requirement

To be eligible for monetization:

  • the content must be uploaded directly to the User’s connected Instagram account,

  • the content must be accessible through the Instagram API at the time of Share creation,

  • the content must not be uploaded, reposted, or managed by a third party on the User’s behalf.

Content posted on accounts not connected to Flaer is not eligible.

4.3 Content Age Limits

At the time of Share creation:

  • the selected post, story, or reel must be less than seven (7) days old,

  • content older than this limit is not eligible for monetization.

Flaer may reject or invalidate Shares submitted outside the permitted timeframe.

4.4 Visibility Windows by Content Type

Each Eligible Content Type is subject to a minimum visibility window during which the content must remain publicly accessible on Instagram:

  • Stories: approximately 23 hours and 45 minutes

  • Posts and Reels: seven (7) consecutive days

The visibility window begins at the time the content is first posted on Instagram, not at the time of Share creation.

If the content is removed, made private, restricted, or otherwise becomes inaccessible before the visibility window ends, the Share may become unrewarded.

4.5 Insight Availability Differences

Different content formats provide different insight metrics through Instagram’s systems.

As a result:

  • CPMs may vary by content type,

  • available insight data may differ,

  • the timing of insight retrieval may vary,

  • the Final Reward calculation process may differ by content type.

Flaer does not guarantee uniform insights across content formats.

4.6 Content Accuracy and Compliance

By submitting content for monetization, you represent that:

  • the content complies with Instagram’s terms and community standards,

  • the content does not violate applicable advertising, consumer protection, or disclosure laws,

  • required paid-promotion disclosures are correctly applied on Instagram,

  • the content genuinely promotes the selected business.

Flaer does not independently verify all compliance requirements and relies on User representations.

4.7 One-Time Eligibility

Each individual post, story, or reel may be monetized only once through the Monetization Program.

Attempts to submit the same content multiple times, or to reuse content for additional Shares, are invalid and may be treated as abuse or fraud.

4.8 No Guarantee of Monetization

Submission of Eligible Content does not guarantee:

  • acceptance into the Monetization Program,

  • availability of insights,

  • calculation of a Final Reward,

  • payment of any reward.

Eligibility is determined on a per-Share basis and may be affected by platform limitations or third-party systems.

5. Visibility and Insight Requirements

5.1 Visibility Requirement

To be eligible for a Final Reward, each Share must remain publicly accessible on Instagram for the full required visibility period applicable to the content type, as described in Section 4.

The content must not be:

  • deleted,

  • archived,

  • restricted,

  • made private,

  • removed,

  • hidden,

  • or otherwise rendered inaccessible

before the visibility period has fully elapsed.

Failure to satisfy the visibility requirement results in the Share being unrewarded.

5.2 Insight Retrieval Dependency

Final Rewards depend entirely on the successful retrieval of insights from Instagram through Meta’s systems.

Flaer retrieves insights using automated background processes after the applicable visibility period has elapsed.

If insight data is unavailable, incomplete, delayed, or inaccessible for any reason, the Share may become unrewarded.

5.3 Insight Retry Logic

Flaer will attempt to retrieve required insights up to five (5) times after the visibility period has ended.

If insight retrieval fails after these attempts:

  • the Final Reward will be set to null,

  • no reward will be paid for the Share,

  • the Share will be considered completed and unrewarded.

Users acknowledge that insight availability is outside Flaer’s control.

5.4 No Manual Insight Substitution

Flaer does not:

  • accept screenshots,

  • accept manual submissions,

  • accept third-party analytics,

  • substitute estimates for missing insights.

Only insights retrieved directly from Instagram through official APIs are valid.

5.5 Consequences of Early Removal

If the associated Instagram content is removed, modified, or becomes inaccessible before the end of the visibility period:

  • insight retrieval may fail,

  • the Share will not receive a Final Reward,

  • the Share will not be retried beyond the standard retry logic.

This applies regardless of the reason for removal.

5.6 No User Notification Requirement

Flaer is not required to notify Users when:

  • insight retrieval fails,

  • a Share becomes unrewarded,

  • a Final Reward is set to null.

Users are responsible for maintaining content visibility and Instagram access.

5.7 No Partial Rewards

Partial insight data, estimated values, or incomplete metrics do not result in partial or proportional rewards.

A Share either:

  • qualifies for a Final Reward, or

  • results in no reward.

There are no partial payouts.

5.8 Platform Dependency Acknowledgment

Users acknowledge that:

  • insight availability depends on Instagram,

  • Instagram may change, limit, or discontinue insight access,

  • insight failures may occur due to platform outages, rate limits, or policy changes.

Flaer bears no responsibility for such failures.

5.9 No Guarantee of Insight Availability

Flaer does not guarantee that insights will be available for any Share, even if all other conditions are satisfied.

Insight availability is a prerequisite, not an entitlement.

6. Estimated Rewards

6.1 Purpose of Estimated Rewards

Before creating a Share, Flaer may display an Estimated Reward.

The Estimated Reward is provided solely to help Users understand the potential range of compensation for a Share. It is informational only and does not represent earned income, a guaranteed payment, or a promise of a Final Reward.

6.2 How Estimated Rewards Are Determined (High-Level)

Estimated Rewards are calculated using a dynamic, algorithmic model that may consider, at a high level:

  • historical performance of similar Shares,

  • estimated reach or impressions,

  • content format (story, post, reel),

  • audience size and composition,

  • geographic distribution of the audience,

  • engagement or relevance indicators,

  • frequency and account-level multipliers,

  • advertiser-specific factors.

The specific formula, weights, and logic used to generate Estimated Rewards are proprietary and may change at any time.

6.3 Display of Estimated Rewards

If displayed, the Estimated Reward is shown before the User confirms Share creation.

By proceeding to create a Share, the User acknowledges that:

  • the Estimated Reward is non-binding,

  • the Final Reward may be higher, lower, or zero,

  • the Estimated Reward may differ materially from the Final Reward.

6.4 No Reliance or Guarantee

Users must not rely on Estimated Rewards as:

  • guaranteed compensation,

  • expected income,

  • minimum payout,

  • contractual obligation by Flaer.

Flaer does not guarantee that any Estimated Reward will result in a Final Reward.

6.5 Relationship to Final Rewards

The Final Reward, if any, is determined only after:

  • the applicable visibility window has ended,

  • required insights have been successfully retrieved from Instagram,

  • Flaer completes its reward calculation process.

The Estimated Reward does not limit Flaer’s ability to:

  • increase or decrease the Final Reward,

  • apply multipliers or adjustments,

  • apply frequency or quality-based modifiers,

  • set the Final Reward to null if eligibility requirements are not met.

6.6 No Partial or Proportional Rewards

Estimated Rewards do not entitle Users to partial, proportional, or minimum payouts.

If the Final Reward is set to null for any reason, no amount corresponding to the Estimated Reward is owed.

6.7 Algorithm Adjustments

Flaer may modify, recalibrate, or replace the Estimated Reward algorithm at any time, including:

  • changing input factors,

  • changing multipliers,

  • adjusting pricing models,

  • updating CPMs,

  • modifying frequency penalties.

Such changes may occur without notice and may affect current or future Estimated Rewards.

6.8 No Separate Notification Requirement

Flaer is not required to notify Users of:

  • changes to the Estimated Reward algorithm,

  • discrepancies between Estimated and Final Rewards,

  • adjustments made during reward calculation.

Users are responsible for understanding that Estimated Rewards are informational only.

6.9 Incentive-Based Nature

Estimated Rewards are part of an incentive-based promotional program and do not constitute wages, salary, or guaranteed compensation.

7. Final Reward Calculation

7.1 Timing of Final Reward Calculation

A Final Reward is calculated only after:

  • the applicable visibility period has fully elapsed, and

  • Flaer has successfully retrieved the required insights from Instagram.

Final Reward calculation does not occur at the time of Share creation and does not occur during the visibility period.

7.2 Snapshot-Based Calculation

Once insights are retrieved, Flaer performs a snapshot of relevant data used for reward calculation, which may include:

  • retrieved Instagram insights,

  • account-level metrics,

  • audience characteristics,

  • applicable multipliers and adjustments.

The Final Reward is calculated based on this snapshot.

7.3 No Recalculation or Adjustment After Finalization

Once a Final Reward is calculated and recorded:

  • it is final,

  • it is not recalculated,

  • it is not adjusted based on later changes,

  • it is not recomputed if insights later change or become unavailable.

Flaer has no obligation to reprocess, revise, or update a Final Reward after it has been finalized.

7.4 No Partial or Interim Rewards

Flaer does not calculate or pay:

  • partial rewards,

  • interim rewards,

  • proportional rewards,

  • rewards based on incomplete insights.

A Share either results in a single Final Reward or no reward at all.

7.5 Null Final Rewards

If required insights cannot be retrieved after the standard retry process, or if eligibility conditions are not met, the Final Reward will be set to null.

A null Final Reward means:

  • no reward is owed,

  • no payout will be made,

  • the Share is considered completed.

A null Final Reward does not constitute an error, breach, or failure by Flaer.

7.6 Relationship to Estimated Rewards

The Final Reward may be:

  • higher than the Estimated Reward,

  • lower than the Estimated Reward, or

  • zero.

The Estimated Reward does not cap, guarantee, or otherwise determine the Final Reward.

7.7 Advertiser Reporting and Manual Review

If a Share is reported by an advertiser, Flaer may manually review the Share.

If the report is determined to be valid:

  • the Share will not receive a Final Reward.

If the report is determined to be invalid:

  • the Share may proceed through normal reward calculation.

Manual review outcomes are final.

7.8 No Entitlement Prior to Final Reward

Users acknowledge that:

  • no entitlement to compensation exists until a Final Reward is calculated,

  • pending, estimated, or expected rewards do not constitute earned income,

  • Flaer incurs no payment obligation until Final Reward finalization.

7.9 Program Dependency

Final Rewards depend on:

  • Instagram’s availability and accuracy of insights,

  • continued platform access,

  • successful processing by Flaer’s systems.

Failures or limitations caused by third-party platforms may result in no Final Reward.

7.10 No Separate Notification Requirement

Flaer is not required to provide separate notification when:

  • a Final Reward is calculated,

  • a Final Reward is set to null,

  • insight retrieval fails.

Reward status may be visible within the Service.

8. Forfeiture of Rewards

8.1 No Entitlement to Unpaid Rewards

Users acknowledge and agree that:

  • a Share does not create an entitlement to payment,

  • rewards are earned only when a Final Reward is calculated,

  • any Share that has not resulted in a Final Reward is considered unpaid and unearned.

Unpaid Shares will not be paid out under any circumstances.

8.2 Automatic Forfeiture Events

A Share will result in no reward if any of the following occurs at any time before Final Reward calculation:

  • the associated Instagram content is deleted, archived, hidden, restricted, or becomes inaccessible,

  • the required visibility period is not fully satisfied,

  • Instagram insights cannot be retrieved after the standard retry process,

  • the User deletes their Flaer account,

  • the User deletes or revokes Instagram data access,

  • the User’s Instagram token expires or becomes invalid,

  • Flaer is unable to retrieve insights due to third-party platform limitations.

In such cases, the Final Reward will be set to null.

8.3 Effect of Account or Data Deletion

If a User deletes their Flaer account or requests deletion of Instagram data:

  • all pending Shares are immediately forfeited,

  • no unpaid rewards will be calculated or paid,

  • previously calculated and paid rewards are not affected.

Users acknowledge that account or data deletion permanently terminates eligibility for pending rewards.

8.4 Advertiser Reports and Manual Review

If a Share is reported by a participating business and, following manual review, Flaer determines that the report is valid:

  • the Share will not receive a Final Reward,

  • the reward will be forfeited in full.

If the report is determined to be invalid, the Share may proceed through the normal reward calculation process.

Manual review decisions are final.

8.5 No Disputes for Technical Forfeiture

Users may not dispute forfeiture resulting from:

  • missing or unavailable insights,

  • early content removal,

  • Instagram access issues,

  • account or data deletion,

  • token expiration.

These events prevent reward calculation and are not subject to appeal.

8.6 No Compensation or Substitution

Forfeited Shares do not result in:

  • alternative compensation,

  • estimated payments,

  • credits,

  • substitutions,

  • manual adjustments.

Flaer does not compensate Users for lost opportunities, time, or expected earnings.

8.7 No Liability for Forfeiture

Flaer bears no responsibility or liability for forfeited rewards resulting from:

  • User actions,

  • Instagram platform behavior,

  • third-party failures,

  • compliance requirements,

  • security or fraud controls.

Forfeiture does not constitute a breach of contract or failure by Flaer.

8.8 Finality of Forfeiture

Once a Share is forfeited:

  • it is permanently ineligible for payment,

  • it will not be reconsidered,

  • it will not be reinstated.

9. Reported Content and Manual Review

9.1 Right to Report Content

Participating businesses may report a Share if they believe the associated content:

  • does not genuinely promote their business,

  • is misleading, irrelevant, or inappropriate,

  • violates applicable advertising or disclosure requirements,

  • was created in bad faith or to exploit the Monetization Program.

Reporting is limited to Shares associated with that business.

9.2 Manual Review Process

All reported Shares are subject to manual review by Flaer.

During manual review, Flaer may evaluate:

  • the associated Instagram content,

  • the selected business,

  • available insight data,

  • compliance with these Monetization Terms,

  • representations made by the User.

Flaer is not required to complete manual review within a specific timeframe.

9.3 Outcomes of Manual Review

Following manual review, Flaer may determine, in its sole discretion, that:

(a) the report is valid, in which case the Share will not receive a Final Reward, or (b) the report is invalid, in which case the Share may proceed through the normal reward calculation process.

No other outcomes apply.

9.4 No Automatic Deletion or Modification

Reporting a Share does not:

  • delete the Share,

  • modify the Share,

  • remove the content from Instagram,

  • guarantee forfeiture.

Only a determination following manual review affects reward eligibility.

9.5 Finality of Review Decisions

Manual review decisions are final.

Users may not appeal or dispute review outcomes, except to the extent expressly required by applicable law.

9.6 No Guaranteed Review for All Issues

Flaer is not required to review or resolve disputes related to:

  • insight failures,

  • early content removal,

  • account deletion,

  • Instagram access issues,

  • technical forfeiture events.

These matters are governed by Section 8 (Forfeiture of Rewards).

9.7 No Liability for Review Outcomes

Flaer bears no liability for:

  • decisions made during manual review,

  • advertiser reports submitted in good faith,

  • Shares forfeited following review.

Manual review does not create a duty of care or fiduciary obligation.

10. Fraud, Abuse, and Manipulation

10.1 Prohibited Conduct

Users must not engage in any activity intended to manipulate, inflate, falsify, or otherwise abuse the Monetization Program.

Prohibited conduct includes, without limitation:

  • artificial or incentivized engagement, including bots, click farms, engagement pods, or purchased interactions,

  • misleading or deceptive content intended to trigger monetization without genuine promotion,

  • selecting a business that is not genuinely promoted by the content,

  • repeatedly posting similar or low-effort content to exploit reward calculations,

  • coordinating activity to influence Estimated or Final Rewards,

  • misrepresenting audience characteristics, reach, or engagement,

  • attempting to bypass frequency limits or multipliers,

  • any activity intended to distort insights or reward outcomes.

10.2 Detection and Enforcement

Flaer may identify fraud or abuse through:

  • automated systems,

  • manual review,

  • advertiser reports,

  • third-party platform signals,

  • pattern analysis or behavioral indicators.

Flaer is not required to disclose detection methods, thresholds, or internal criteria.

10.3 Consequences of Fraud or Abuse

If Flaer determines, in its sole discretion, that a User has engaged in fraud, abuse, or manipulation, Flaer may take one or more of the following actions:

  • set affected Final Rewards to null,

  • forfeit unpaid rewards,

  • suspend or terminate monetization access,

  • suspend or terminate the User’s account,

  • restrict future participation in the Monetization Program,

  • withhold or block withdrawals as permitted by law or third-party providers,

  • refer the matter to third-party platforms or service providers,

  • pursue legal remedies where appropriate.

Enforcement actions may be taken without prior notice.

10.4 No Obligation to Reverse Past Decisions

Flaer is not obligated to:

  • reinstate forfeited rewards,

  • reprocess Shares,

  • reverse enforcement actions,

  • compensate Users for enforcement-related losses.

Past payouts are not guaranteed to remain eligible if required by law or third-party enforcement.

10.5 Advertiser Reports and Fraud

Advertiser reports may be considered as part of fraud or abuse assessments.

A valid advertiser report may result in forfeiture as described in Section 9 and Section 8.

10.6 No Circumvention

Attempts to circumvent fraud controls, enforcement mechanisms, or eligibility rules constitute additional violations and may result in immediate termination.

10.7 No Liability

Flaer bears no liability for losses, forfeitures, or missed opportunities resulting from fraud prevention, abuse detection, or enforcement actions.

11. Algorithm, Pricing, and Program Changes

11.1 Dynamic and Evolving Program

The Monetization Program is dynamic and may change over time.

Flaer reserves the right, at its sole discretion, to modify, update, recalibrate, or replace any aspect of the Monetization Program, including:

  • reward calculation algorithms,

  • pricing models and CPMs,

  • multipliers and adjustment factors,

  • frequency or quality-based modifiers,

  • account-level ratings,

  • eligibility thresholds,

  • referral structures or referral payouts,

  • minimum or maximum reward amounts.

Such changes may be implemented at any time.

11.2 No Vested Rights or Expectation of Continuity

Users acknowledge that:

  • participation in the Monetization Program does not create vested rights,

  • past rewards do not guarantee future rewards,

  • prior algorithms, pricing models, or multipliers may be changed or discontinued,

  • Estimated Rewards and historical performance do not create expectations of continued earnings.

11.3 No Notice Requirement

Flaer is not required to provide advance notice of changes to:

  • algorithms,

  • pricing,

  • multipliers,

  • reward structures,

  • eligibility rules.

Changes may take effect immediately and may apply to future Shares or pending Shares that have not yet resulted in a Final Reward.

11.4 Effect on Existing Shares

Unless otherwise required by law:

  • changes do not retroactively alter Final Rewards that have already been calculated and finalized,

  • changes may affect Shares for which a Final Reward has not yet been calculated,

  • pending or estimated rewards may be adjusted or nullified based on updated rules.

11.5 No Obligation to Maintain Program

Flaer may, at any time:

  • suspend the Monetization Program,

  • limit availability of monetization features,

  • restrict participation for certain Users or content types,

  • discontinue the Monetization Program entirely.

Flaer has no obligation to continue offering monetization opportunities.

11.6 No Liability for Program Changes

Flaer bears no liability for:

  • changes to algorithms or pricing,

  • reduced or eliminated rewards,

  • loss of anticipated earnings,

  • suspension or discontinuation of the Monetization Program.

11.7 Independent Business Decisions

All changes to the Monetization Program are made as independent business decisions and do not create duties, obligations, or guarantees toward Users.

12. User Responsibilities

12.1 General Responsibility

Users participating in the Monetization Program are solely responsible for complying with these Monetization Terms at all times.

Flaer does not monitor or guarantee User compliance and relies on User representations and conduct.

12.2 Maintaining Instagram Access

Users are responsible for:

  • keeping their Instagram account properly connected to the Service,

  • maintaining valid Instagram permissions throughout the applicable visibility period,

  • ensuring that Instagram access tokens do not expire or become invalid.

If Flaer is unable to retrieve required insights due to loss of Instagram access, the Share will not receive a Final Reward.

12.3 Content Visibility and Availability

Users are responsible for ensuring that monetized content:

  • remains publicly accessible for the full required visibility period,

  • is not deleted, archived, restricted, or hidden during that period.

Failure to maintain content visibility results in forfeiture as described in Section 8.

12.4 Accurate Business Selection

Users must accurately select the business that the content genuinely promotes.

Selecting an incorrect business, whether intentionally or unintentionally, may result in forfeiture, reporting, or enforcement action.

12.5 Content Accuracy and Compliance

Users represent and warrant that monetized content:

  • genuinely promotes the selected business,

  • complies with Instagram’s policies and community standards,

  • complies with applicable advertising, disclosure, and consumer protection laws,

  • includes required paid-promotion disclosures where applicable.

Flaer does not independently verify legal compliance and bears no responsibility for User violations.

12.6 Prohibition on Circumvention

Users must not attempt to:

  • manipulate reward calculations,

  • bypass eligibility rules,

  • exploit algorithmic behavior,

  • interfere with insight collection,

  • create Shares for content not intended for genuine promotion.

Such conduct may result in enforcement under Section 10.

12.7 Responsibility for Technical Limitations

Users acknowledge that:

  • Instagram insights may be unavailable or delayed,

  • third-party platforms may impose limitations or outages,

  • technical failures may occur beyond Flaer’s control.

Users assume all risk related to such limitations.

12.8 No Reliance on Monetization Availability

Users must not rely on the Monetization Program as a source of guaranteed income.

Flaer does not guarantee:

  • availability of monetization features,

  • continued eligibility,

  • frequency of monetization opportunities.

12.9 Consequences of Non-Compliance

Failure to meet User responsibilities may result in:

  • forfeiture of rewards,

  • suspension or termination of monetization access,

  • account suspension or termination.

13. Payouts, Withdrawals, and Stripe

13.1 Stripe as Exclusive Payout Provider

All payouts under the Monetization Program are processed exclusively through Stripe (including Stripe Connect or related services).

Flaer does not issue payments directly and does not act as a bank, payment institution, money transmitter, or custodian of User funds.

13.2 Eligibility for Withdrawal

A User becomes eligible to request a withdrawal only after:

  • a Final Reward has been calculated and recorded, and

  • the reward is reflected as an available balance in the User’s Stripe account, and

  • all applicable Stripe requirements have been satisfied.

Pending, estimated, or forfeited rewards are not withdrawable.

13.3 Minimum Withdrawal Amount

Flaer imposes a minimum withdrawal amount of USD $1.00.

Flaer reserves the right to modify the minimum withdrawal amount at any time, at its sole discretion.

In addition, Stripe may impose its own minimums, fees, limits, or other requirements related to withdrawals. Such requirements are governed solely by Stripe’s terms and are outside of Flaer’s control.

13.4 Identity Verification and KYC

Users may be required to complete identity verification, tax information submission, or other compliance checks as required by Stripe.

Such requirements are determined and enforced by Stripe, not Flaer.

Failure to complete required verification may result in:

  • delayed withdrawals,

  • blocked withdrawals,

  • frozen balances.

13.5 Stripe-Controlled Holds and Freezes

Stripe may place holds, reserves, or freezes on User balances in accordance with its own policies and legal obligations.

Flaer has no control over, and bears no responsibility for:

  • Stripe-imposed delays,

  • account freezes,

  • compliance reviews,

  • reversals required by law.

Balances held by Stripe remain subject to Stripe’s terms.

13.6 No Guaranteed Payout Timing

Flaer does not guarantee:

  • payout timing,

  • withdrawal processing speed,

  • availability of funds,

  • successful completion of withdrawals.

All payout timing is subject to Stripe’s systems and policies.

13.7 No Chargebacks or Reversals Through Flaer

Users may not initiate chargebacks, reversals, or payment disputes through Flaer for rewards.

Any attempt to abuse payment systems may result in suspension or termination of the User’s account and monetization access.

13.8 Non-Custodial Role of Flaer

Flaer does not hold, store, safeguard, or control User funds.

Once a Final Reward is recorded and transferred to Stripe, Flaer has no ability to access, move, or retrieve such funds.

13.9 Taxes

Users are solely responsible for determining and fulfilling any tax obligations arising from rewards earned through the Monetization Program.

Flaer does not provide tax advice and does not withhold taxes except where legally required.

13.10 No Liability for Payment Issues

Flaer bears no liability for:

  • failed withdrawals,

  • delayed payouts,

  • Stripe errors,

  • compliance actions by Stripe,

  • losses caused by incorrect User information.

13.11 Relationship to Terms of Service

Payment and billing provisions in the Terms of Service apply in addition to this Section.

In the event of a conflict, these Monetization Terms govern monetization-related payouts.

14. Taxes

Users are solely responsible for determining, reporting, and paying any taxes, duties, levies, or other governmental charges arising from rewards earned through the Monetization Program.

Flaer does not provide tax advice and does not determine a User’s tax obligations.

Unless required by applicable law, Flaer does not withhold, collect, or remit taxes on behalf of Users. Any tax reporting, withholding, or documentation requirements imposed by Stripe or other payment providers are governed by their respective terms and policies.

Users acknowledge that rewards earned through the Monetization Program may constitute taxable income under applicable laws and regulations, depending on their jurisdiction.

15. No Guarantee of Earnings

Participation in the Monetization Program does not guarantee that you will earn any rewards or income.

Flaer makes no representations, warranties, or guarantees regarding:

  • the availability of monetization opportunities,

  • the number of Shares you may create,

  • the frequency of monetization opportunities,

  • the amount of any Estimated or Final Reward,

  • the likelihood of receiving a payout,

  • the continuation of the Monetization Program.

Any examples, estimates, historical performance, or illustrative figures shown in the Service are provided for informational purposes only and do not constitute guarantees of future earnings.

Rewards earned through the Monetization Program are incentive-based promotional compensation, not wages, salary, or employment income.

Participation in the Monetization Program does not create an employment relationship, contractor relationship, partnership, agency, or joint venture between you and Flaer.

Users acknowledge that rewards may vary significantly and that some Shares may result in no reward.

17. Suspension and Termination (Monetization-Specific)

17.1 Suspension of Monetization Access

Flaer may, at its sole discretion, suspend a User’s access to the Monetization Program at any time, with or without notice, including where Flaer determines that:

  • the User has violated these Monetization Terms or the Terms of Service,

  • the User has engaged in fraud, abuse, or manipulation,

  • the User has created Shares in bad faith,

  • the User’s activity presents legal, compliance, or operational risk,

  • required third-party access (including Instagram or Stripe) is unavailable,

  • continued monetization is no longer supported or offered.

Suspension of monetization access does not require suspension of the User’s general Flaer account.

17.2 Effect of Suspension on Rewards

During a suspension:

  • the User may be prevented from creating new Shares,

  • pending or estimated rewards may be forfeited,

  • Shares that have not resulted in a Final Reward may become unrewarded.

Suspension does not entitle the User to compensation for forfeited or unrealized rewards.

17.3 Termination of Monetization Access

Flaer may permanently terminate a User’s participation in the Monetization Program at any time, with or without notice, including for repeated violations, serious misconduct, or ongoing risk to the platform.

Upon termination:

  • the User permanently loses access to monetization features,

  • no new Shares may be created,

  • any unpaid or unfinalized rewards are forfeited.

Previously paid Final Rewards are not affected unless required by law or third-party enforcement.

17.4 Account Termination

Termination of a User’s Flaer account for any reason automatically terminates participation in the Monetization Program.

All consequences described in these Monetization Terms apply upon account termination.

17.5 No Obligation to Provide Reason or Appeal

Flaer is not required to:

  • provide a reason for suspension or termination,

  • offer an appeal process,

  • reinstate monetization access once terminated.

Decisions related to suspension or termination are final, except where otherwise required by law.

17.6 No Liability

Flaer bears no liability for losses, damages, or missed opportunities arising from:

  • suspension of monetization access,

  • termination of participation,

  • forfeiture of pending or estimated rewards.

17.7 Survival

Sections governing forfeiture, limitation of liability, dispute resolution, and taxes survive suspension or termination of monetization access.

18. Relationship to Terms of Service

These Terms of Monetization supplement and form part of the Terms of Service.

All provisions of the Terms of Service, including but not limited to:

  • dispute resolution and arbitration,

  • limitation of liability,

  • indemnification,

  • governing law,

  • termination,

  • disclaimers,

apply fully to participation in the Monetization Program unless expressly stated otherwise in these Terms of Monetization.

In the event of any conflict or inconsistency between the Terms of Service and these Terms of Monetization, these Terms of Monetization govern solely with respect to monetization, rewards, payouts, forfeiture, and eligibility.

Nothing in these Terms of Monetization modifies or limits Flaer’s rights under the Terms of Service with respect to non-monetization features of the Service.

19. Changes to These Terms of Monetization

Flaer may update, modify, or replace these Terms of Monetization at any time, at its sole discretion.

Changes may include, without limitation:

  • modifications to reward eligibility rules,

  • changes to reward calculation methods or algorithms,

  • adjustments to pricing, CPMs, multipliers, or referral structures,

  • updates to withdrawal procedures,

  • compliance-related changes required by third-party platforms or applicable law.

Unless otherwise required by law, changes take effect when posted within the Service or otherwise made available to Users.

Continued participation in the Monetization Program after changes become effective constitutes acceptance of the revised Terms of Monetization.

If you do not agree to the updated Terms of Monetization, you must cease participation in the Monetization Program and stop creating Shares.

Flaer is not required to provide advance notice of changes to these Terms of Monetization.
